2. Risk Disclosure

2.1 There are risks associated with trading and investing. If there should be a system failure, hacking incident or technical failure these terms apply to the members.

2.4 To get referral commissions, the user must have at least one active bot or services in their accounts. If there is no active bots or services, all referral commissions will be forfeited.

2.2 Cryptocurrencies, like Bitcoin, do not have a legal tender and are not regulated by a governmental entity. Changes in regulation or in the legislative system of a state, country or at an international level can have a direct impact on the value of cryptocurrencies

2.4 The volatility and minimal predictability of the price of virtual currency relative to the fiat currency may result in significant loss over a short period of time.

2.5 You have sufficient knowledge and experience in business and financial matters, including a sufficient understanding of blockchain or cryptographic tokens and other digital assets, smart contracts, storage mechanisms (such as digital or token wallets), blockchain-based software systems and blockchain technology, to be able to evaluate the risks and merits of purchasing or selecting coins or tokens in your selected portfolio, whether it be default or custom.

2.6 You also understand that you have the control to turn off or on the bots offered by Tradeium at any time, as well as vary the amount each bot manages of your portfolio. We will not be liable for your failure to monitor or manage the use of these bots or services.

2.7 You have obtained sufficient information in order to make an informed decision to use the website trading bots and services.

2.8 You have sufficient information and experience to manage your cryptocurrency assets with the services and bots provided by Tradeium.

2.9 You understand that every trading bot and/or trading system will have periods of losses, and periods of underperformance relative to the overall market.

2.10. Risks Associated with Uncertain Regulations and Enforcement Actions. There is a risk that in some jurisdictions digital assets that can be managed through the website might be considered a "security”, or other regulated investment now or in the future. The Tradeium believes, but does not give representations, warranties or guarantees that tokens or coins are not a security or regulated investment in all jurisdictions.

2.11. Risks Arising from Taxation. The tax characterization of Tokens and coins is uncertain. You must seek your own tax advice in connection with purchasing Tokens and coins, which may result in adverse tax consequences to you, including withholding taxes, income taxes and tax reporting requirements.

3. Variation

3.1 We may revise these terms and conditions from time to time.

3.2 The revised terms and conditions shall apply to the use of our website from the date of publication of the revised terms and conditions on the website, and you hereby waive any right you may otherwise have to be notified of, or to consent to, revisions of these terms and conditions.

7. User login details

7.1 If you register for an account with our website, you will be asked to choose​ ​a user ID and password​.

7.2 Your user ID must not be liable to mislead and must comply with the content; you must not use your account or user ID for or in connection with the impersonation of any person.

7.3 You must keep your password confidential.

7.4 You must notify us in writing immediately if you become aware of any disclosure of your password.

7.5 You are responsible for any activity on our website arising out of any failure to keep your password confidential, and may be held liable for any losses arising out of such a failure.

(d) exclude any liabilities that may not be excluded under applicable law.

12.2 The limitations and exclusions of liability set out in this Section 12 and elsewhere in these terms and conditions:

(a) are subject to Section 12.1; and

(b) govern all liabilities arising under these terms and conditions or relating to the subject matter of these terms and conditions, including liabilities arising in contract, tort (including negligence) and for breach of statutory duty, except to the extent expressly provided otherwise in these terms and conditions.

12.3 To the extent that our website and the information and services on our website are provided free of charge, we will not be liable for any loss or damage of any nature.

12.4 We will not be liable to you in respect of any losses arising out of any event or events beyond our reasonable control.

12.9 To the fullest extent permitted by applicable law, you disclaim any right or cause of action against the Tradeium of any kind in any jurisdiction that would give rise to any damages whatsoever, on the part of the Tradeium.

12.10 The Tradeium shall not be liable to you for any type of damages, whether direct, indirect, incidental, special, punitive, consequential or exemplary (including damages for lost profits, goodwill, use or data), even if and notwithstanding the extent to which the Tradeium has been advised of the possibility of such damages.

12.11 You agree not to seek any refund, compensation or reimbursement from the Tradeium nor related parties, regardless of the reason, and regardless of whether the reason is identified in this Agreement.

12.12 In no circumstances will the aggregate joint liability of the Tradeium or related Parties, whether in contract, warrant, tort or other theory, for Damages to you under this Agreement exceed the amount received by the Tradeium from you.

12.13 You understand and agree that the Tradeium shall not be liable and disclaims all liability to you in connection with any force majeure, including any industrial disturbances, electrical, telecommunications, hardware, software or other utility failures, software or smart contract bugs or weaknesses, earthquakes, storms, or other nature-related events, blockages, embargoes, riots, acts or orders of government, acts of terrorism or war, technological change, changes in interest rates or other monetary conditions, and, for the avoidance of doubt, changes to any blockchain-related protocol.

12.14 You understand the website is a service to allow you to manage you cryptocurrency and cryptoasset portfolio. We will not be liable for any losses, including but not limited to a failure for you to turn on/off the bots or services, or a failure to change the amount of your portfolio a bot trades at optimal amounts.

12.15 You are responsible for monitoring the trades executed by any of Tradeium trading bots on your cryptocurrency account that you have active. You understand and acknowledge that you can reverse the trades on your Binance account, and/or turn off the bot. We will not be liable for any losses resulting from not managing or not monitoring the trades executed by any trading bot or services offered by Tradeium.

13. Breach of these terms and conditions

13.1 Without prejudice to our other rights under these terms and conditions, if you breach these terms and conditions in any way, or if we reasonably suspect that you have breached these terms and conditions in any way, we may:(a) send you one or more formal warnings;

(b) temporarily suspend your access to our website;

(c) permanently prohibit you from accessing our website;

(d) block computers using your IP address from accessing our website;

(e) contact any or all of your internet service providers and request that they block your access to our website;

(f) commence legal action against you, whether for breach of contract or otherwise; and/or

(g) suspend or delete your account on our website.

13.2 Where we suspend or prohibit or block your access to our website or a part of our website, you must not take any action to circumvent such suspension or prohibition or blocking (including without limitation creating and/or using a different account).

14. Assignment

14.1 You hereby agree that we may assign, transfer, sub-contract or otherwise deal with our rights and/or obligations under these terms and conditions.

14.2 You may not without our prior written consent assign, transfer, sub-contract or otherwise deal with any of your rights and/or obligations under these terms and conditions.

15. Severability

15.1 If a provision of these terms and conditions is determined by any court or other competent authority to be unlawful and/or unenforceable, the other provisions will continue in effect.

15.2 If any unlawful and/or unenforceable provision of these terms and conditions would be lawful or enforceable if part of it were deleted, that part will be deemed to be deleted, and the rest of the provision will continue in effect.

16.1 A contract under these terms and conditions is for our benefit and your benefit, and is not intended to benefit or be enforceable by any third party.

16.2 The exercise of the parties' rights under a contract under these terms and conditions is not subject to the consent of any third party.

17.1 Subject to Section 12.1, these terms and conditions, together with our privacy policy, shall constitute the entire agreement between you and us in relation to your use of our website and shall supersede all previous agreements between you and us in relation to your use of our website.
